Citigroup Global Markets India Private Limited ("Manager to the Offer") for and on behalf of Moodys Singapore Pte Ltd ("Acquirer") along with Moodys Investment Company India Private Limited ("PAC-1") and Moodys Corporation ("PAC-2") as persons acting in concert with the Acquirer (collectively, the "PAC") has informed this Post Offer Advertisement ("Advertisement") to the Equity Shareholders of ICRA Limited ("Target Company") pursuant to Regulation 18(12) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 ("Regulations") in respect of the conditional open offer for acquisition of up to 2,650,000 (two million six hundred and fifty thousand) Equity Shares from the Shareholders of the Target Company by the Acquirer along with the PAC.
This Advertisement should be read in continuation of and in conjunction with the Public Announcement ("PA") filed on February 21, 2014, the Detailed Public Statement ("DPS") published on March 03, 2014, the Letter of Offer dated May 22, 2014 ("LoF"), Corrigendum to the PA, DPS and LoF dated May 28, 2014 ("Corrigendum") and the Offer Opening Advertisement published on June 02, 2014.
